Terms of Service
These Terms of Service ("Terms") govern your engagement with CUCU ("cucu", "we", "us", or "our") for AI infrastructure deployment, implementation, and management services. By engaging our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By signing a service agreement, authorizing a deployment, or otherwise engaging our services, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy. If you are engaging services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
cucu provides:
- Kubernetes and OpenShift cluster deployment and implementation
- AI infrastructure stack deployment (OpenClaw, Open WebUI, n8n, and more)
- Data infrastructure setup (Qdrant, Redis, Kafka, PostgreSQL)
- GitOps-based continuous deployment (ArgoCD, Helm, Terraform)
- Self-hosted deployments on client hardware (including Mini Mac Pro)
- Cloud GPU cluster provisioning and management
- Ongoing infrastructure management and support
3. Service Engagement
- Services are provided under individual service agreements or statements of work
- Each engagement specifies scope, timeline, deliverables, and pricing
- You must provide accurate information about your infrastructure requirements
- You must provide necessary access to hardware, cloud accounts, and systems as required
- You must designate a technical point of contact for the engagement
4. Pricing and Payment
4.1 Service Fees
Pricing is determined per engagement based on scope and complexity. Detailed pricing will be provided in your service agreement or statement of work.
4.2 Billing
- Implementation fees may be billed as milestones or upon completion
- Ongoing management fees are billed monthly
- Payments are processed via Stripe or bank transfer
- Cryptocurrency payments (USDT/USDC) are available upon request
4.3 Additional Costs
Cloud infrastructure costs (compute, storage, networking) are billed separately and are the responsibility of the client unless otherwise specified in the service agreement.
5. Acceptable Use
You agree NOT to use infrastructure deployed by cucu to:
- Violate any applicable law, regulation, or third-party rights
- Process or store data in violation of data protection regulations
- Distribute malware, conduct attacks, or engage in harmful activities
- Circumvent security measures or access controls we implement
- Use deployed AI systems to generate illegal or harmful content
- Resell our implementation services without written authorization
6. Your Data and Infrastructure
6.1 Ownership
You retain full ownership of your data, configurations, and infrastructure. All clusters, applications, and data deployed on your hardware or cloud accounts belong to you.
6.2 Access
During active service engagements, you grant us necessary access to deploy, configure, and manage infrastructure. Access credentials are managed securely and can be revoked at any time.
6.3 Data Handling
We do not store, access, or process your business data beyond what is necessary for infrastructure deployment and management. Your AI workloads, models, and datasets remain under your control.
7. Service Level
- Implementation timelines are specified in each service agreement
- For managed services, we provide response times as agreed in your SLA
- Self-hosted deployments: uptime depends on your hardware and network
- Cloud deployments: subject to the cloud provider's SLA
8. SMS and Messaging Communications
8.1 Consent to Receive Messages
By engaging our services, creating an account, or initiating a conversation through our messaging channels (WhatsApp, Telegram, SMS), you consent to receive transactional messages from CUCU. These messages are limited to:
- Payment confirmations and billing notifications
- Invoice delivery and account statements
- Service status updates and maintenance alerts
- Security notifications (login alerts, credential changes)
- Responses to your support inquiries
We do NOT send marketing, promotional, or unsolicited messages. All communications are transactional and directly related to your active service engagement.
8.2 Opt-In Process
You opt-in to receive SMS and messaging communications when you:
- Accept these Terms of Service during account creation or service onboarding
- Initiate a conversation with our AI agent via WhatsApp or Telegram
- Provide your phone number during the service engagement process
By providing your phone number and accepting these Terms, you expressly consent to receive transactional SMS messages at the number provided. Message frequency varies based on your account activity. Message and data rates may apply.
8.3 Opt-Out
You may opt out of SMS communications at any time by:
- Replying STOP to any SMS message
- Contacting us at [email protected]
After opting out, you will receive a final confirmation message. Opting out of SMS does not affect your service agreement — you will continue to receive critical notifications via email.
8.4 Help

9. Intellectual Property
Our deployment scripts, automation tools, configurations, and methodologies are the intellectual property of CUCU. You receive a license to use deployed configurations for the purpose of operating your infrastructure. You may not redistribute or resell our tooling without written permission.
10. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
- We are not liable for indirect, incidental, special, consequential, or punitive damages
- We are not liable for losses resulting from AI model outputs, data processing errors, or decisions made by deployed AI systems
- We are not liable for third-party service outages (cloud providers, API providers)
- We are not liable for data loss due to hardware failure on self-hosted deployments
11. Indemnification
You agree to indemnify and hold harmless CUCU from any claims, damages, or expenses arising from your use of deployed infrastructure, outputs of your AI systems, or your violation of these Terms.
12. Termination
- Either party may terminate a service agreement with 30 days written notice
- We may suspend services for non-payment or violation of these Terms
- Upon termination, we will provide a handover of all configurations, credentials, and documentation
- Your infrastructure continues to operate independently after our engagement ends
- Sections on liability, indemnification, and intellectual property survive termination
13. Dispute Resolution
- Any disputes shall first be attempted to be resolved through good-faith negotiation
- If negotiation fails, disputes shall be resolved through binding arbitration
- These Terms are governed by the laws of the State of Delaware, United States
- Nothing in these Terms limits your statutory rights
14. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email at least 30 days before they take effect. Changes do not affect existing active service agreements unless both parties agree.
15. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and individual service agreements, constitute the entire agreement between you and cucu
- Severability: If any provision is found invalid, the remaining provisions continue in full force
- Waiver: Failure to enforce any provision does not constitute a waiver
- Assignment: You may not assign your rights under these Terms without our written consent
- Force Majeure: We are not liable for delays caused by events beyond our reasonable control
